1. Acceptance of These Terms

By accessing or using primeledgerconsultancy.com or PrimeLedger Private (together, the "Services"), you agree to these Terms of Use. If you do not agree, please do not use the Services. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" includes it.

2. About PrimeLedger Consultancy FZCO

PrimeLedger Consultancy FZCO ("PrimeLedger", "we", "us", "our") is an accounting and tax consultancy based in Dubai, United Arab Emirates, registered at IFZA Business Park, DDP, Dubai Silicon Oasis, Dubai, UAE. This website provides information about our services, free tools and calculators, published articles and guides, and access to PrimeLedger Private — a self-service portal for personal financial record-keeping.

3. No Client Relationship, and No Professional Advice

This section is important. Please read it.

• Using the Services does not make you our client. Browsing this website, using a calculator, downloading a template, messaging an AI assistant or creating a portal account does not create a client, advisory, fiduciary or other professional relationship between us. A professional relationship arises only under a written engagement letter signed by both parties.
• Nothing on the Services is advice. The calculators, guides, downloads, articles and portal features are general information only. They do not take account of your particular circumstances and do not constitute accounting, tax, audit, legal, investment or financial advice.
• Outputs are indicative. Figures, reports and suggestions produced by the Services — including anything generated by our AI assistants, PRIMA and MATRIX — are estimates based on the information entered and on our understanding of the applicable rules at the time. They are not a substitute for advice on your situation.
• AI output can be wrong. AI-generated content may be inaccurate, incomplete or out of date. You are responsible for reviewing and verifying it before relying on it for anything.
• Rules change. Tax and regulatory requirements in the UAE and elsewhere change, and published material may not reflect the latest position. Confirm significant decisions with us under an engagement, or with another suitably qualified adviser, before acting.

To the fullest extent permitted by law, we accept no liability for any action taken, or not taken, in reliance on material available through the Services in the absence of a signed engagement.

4. Engagements Take Precedence

Where you engage us for professional services, the engagement letter and any terms of business attached to it govern that work. In the event of a conflict between those documents and these Terms, the engagement documents prevail in respect of the engagement. These Terms continue to govern your use of the website and the portal.

5. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. The Services are not directed to anyone who is prohibited from receiving them under applicable sanctions or export control laws, and you confirm you are not such a person.

6. Your PrimeLedger Private Account

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorised access.
• You may use PrimeLedger Private for your own record-keeping. Do not store or process another person's personal data in it without their knowledge and consent, and do not use one account to provide services to third parties.
• You are responsible for the accuracy of what you enter. Outputs are only as good as the inputs, and we do not verify the figures you record.
• You are responsible for keeping your own copies of anything you need. The portal is a convenience tool, not a system of record or an archive.

7. Acceptable Use

You agree not to:

• use the Services for any unlawful, fraudulent or deceptive purpose;
• attempt to gain unauthorised access to any part of the Services, another user's account, or any underlying system or data;
• probe, scan or test the vulnerability of the Services, or circumvent any security, authentication or rate-limiting measure, except with our prior written permission;
• interfere with or disrupt the integrity, availability or performance of the Services;
• upload malicious code, or content you have no right to upload;
• scrape, harvest or bulk-download content, or use automated means to access the Services, other than search engine indexing consistent with our robots directives;
• resell, sublicense or commercially exploit the Services or their output without our written permission;
• use the AI assistants to generate unlawful content, or submit another person's confidential information to them; or
• misrepresent your relationship with PrimeLedger, or imply we endorse you or your work.

We may suspend or terminate access where we reasonably believe these Terms have been breached, or where necessary to protect the Services or other users.

8. Availability, Changes and Fair Use

We aim to keep the Services available but do not guarantee uninterrupted access. We may modify, suspend or discontinue any part of the Services, including individual features, tools or the portal itself, at any time. Where a change would materially affect you and we reasonably can, we will give notice.

Some features, including the AI assistants, are subject to usage limits so that they remain available to everyone. We may apply, vary or remove such limits.

9. Intellectual Property

All content forming part of the Services — text, graphics, logos, layouts, calculators, templates and the underlying software — is owned by PrimeLedger Consultancy FZCO or its licensors and is protected by applicable intellectual property laws.

You may view and print material for your own personal or internal business use, and may download and use materials we have expressly made available for that purpose, such as items in our Downloads section. Otherwise you may not copy, reproduce, republish, adapt or distribute any part of the Services without our written permission. Trade marks and brand features must not be used without permission.

Your content. You retain ownership of the information and documents you submit. You grant us a limited licence to host, process and display that content solely to provide the Services to you. We do not use it to train AI models.

Feedback. If you send us suggestions about the Services, we may use them without restriction or obligation to you.

10. Third-Party Links and Services

The Services may link to, or rely on, third-party websites and providers. We do not control them, are not responsible for their content, availability or practices, and a link is not an endorsement. Your use of a third-party service is governed by that party's own terms.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free, that defects will be corrected, or that any calculation, report or AI-generated output will be accurate, complete or current.

12. Limitation of Liability

To the fullest extent permitted by law, PrimeLedger Consultancy FZCO, its officers, employees and agents shall not be liable for:

• any indirect, incidental, special, consequential or punitive loss, or any loss of profit, revenue, goodwill, data, anticipated savings or business opportunity, however arising; or
• any loss arising from your use of, or inability to use, the Services, including reliance on any figure, report, template or AI-generated output produced through them.

Where liability cannot lawfully be excluded, our total aggregate liability arising out of or in connection with your use of the Services is limited to the greater of the amount you paid us for access to the Services in the twelve months preceding the claim, or AED 1,000.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to indemnify and hold harmless PrimeLedger Consultancy FZCO, its officers, employees and agents against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your infringement of the rights of a third party.

14. Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including outages or failures of telecommunications, hosting, authentication or other third-party providers, cyber attacks, acts of government, or events of nature.

15. Termination

You may stop using the Services at any time and may ask us to close your account. We may suspend or terminate your access, with or without notice, where you breach these Terms, where required by law, or where we discontinue the Services. On termination, your right to use the Services ends immediately. Sections that by their nature should survive — including sections 3, 9, 11, 12, 13, 17 and 18 — continue to apply.

16. Communications

You agree that we may communicate with you electronically, including by email and through notices posted within the Services, and that such communications satisfy any legal requirement that they be in writing. Notices to us should be sent to info@primeledgerconsultancy.com.

17. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai, UAE have exclusive jurisdiction, save that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property or confidential information.

Before commencing proceedings, we ask that you contact us so we can try to resolve the matter directly.

18. General

• Severability. If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary, or severed, and the remaining provisions continue in full force.
• No waiver. A failure or delay in enforcing any provision is not a waiver of it.
• Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign them in connection with a reorganisation or transfer of our business.
• No third-party rights. No person other than you and us has any right to enforce these Terms.
• Entire agreement. These Terms, together with our Privacy Policy and, where applicable, your engagement documents, form the entire agreement between us regarding the Services.
• Language. These Terms are published in English. Where a translation is provided for convenience and there is any inconsistency, the English version prevails.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the current version, and continued use of the Services after changes take effect constitutes acceptance. Where a change is material, we will take reasonable steps to bring it to your attention.
